Welcome to use Shenzhen Value in Action Technology Co., LTD’s SCHEDIT Application and Service!

To use Shenzhen Value in Action Technology Co., LTD’s SCHEDIT Application (hereinafter referred to as “the Application”) and Service, you should read and abide by the Shenzhen Value in Action Technology Co., LTD SCHEDIT Application License and Service Agreement (hereinafter referred to as “the Agreement”). Please read carefully and fully understand all the terms of the Agreement, especially liability exemption or restriction terms and any separate agreement for activating or use certain service. You are required to accept or refuse them. Exemption or restriction terms are made in bold font to arouse your attention.

You are authorized to use the Application and related services until you have read and accepted all the terms of the Agreement. Once you use the Application, you are deemed as having read and accepted the above agreement.

If you are under 18, please read the Agreement and other agreements in the company of your legal guardian and pay special attention to the use terms for minors.

I. 【Scope of the Agreement】

1.1【Scope of Application】

The agreement is entered into by and between you and Shenzhen Value in Action Technology Co., LTD for your use of the Application and enjoying the service provided by Shenzhen Value in Action Technology Co., LTD (hereinafter referred to as “the Service”).

1.2【Agreement relationship and conflict terms】

The Agreement contains agreements and business rules relating to the Service that may be released from time to time by Shenzhen Value in Action Technology Co., LTD. Once these contents are released, they become an integral part of the Agreement and you shall also abide by them.

Shenzhen Value in Action Technology Co., LTD is entitled to amend service terms if necessary. Once the service terms of the Agreement change, the changed contents will appear on important pages for reminding. If a user disagrees to the contents changed, he/she may stop enjoying the Service voluntarily otherwise he/she is deemed as having accepted the changed service terms. Shenzhen Value in Action Technology Co., LTD reserves the right to change or suspend the Service without notifying users at any time. For such right, Shenzhen Value in Action Technology Co., LTD will not assume any responsibility for users.

II. 【About the Service】

2.1【Contents of the Service】

Contents of the Service refer to voice control over intelligent home appliances such as a robot cleaner.

2.2【Scope of the Service License】

2.2.1 Shenzhen Value in Action Technology Co., LTD grants you a personal, nontransferable and nonexclusive license to use the Application. You may use the Application for noncommercial purposes.

2.2.2 You may duplicate the Application in order to use the Application and Service but the duplicated application may be used as backup copy only. The backup copy must contain all the copyright information in the original Application.

2.2.3 Shenzhen Value in Action Technology Co., LTD reserves all other rights which are not authorized expressly in this provision and other terms of the Agreement. To exercise such rights, you must ask for Shenzhen Value in Action Technology Co., LTD’s written permission additionally. Shenzhen Value in Action Technology Co., LTD’s failure to exercise any of the foregoing rights does not constitute its waiver of such rights.

III. 【How to Get the Application】

You may get the Application via the Amazon Alexa software platform.

IV. 【Update of the Application】

4.1 In order to improve user’ s experience and provide better services, Shenzhen Value in Action Technology Co., LTD will keep developing new services and provide application updates to you from time to time.

4.2 To guarantee the Application and Service’s security and functional conformance, Shenzhen Value in Action Technology Co., LTD is entitled to update the Application or change or restrict partial functions of the Application without giving a special notice to you.

V. 【Protection of Users’ Personal Information】

5.1 To protect users’ personal information is a basic principle followed by Shenzhen Value in Action Technology Co., LTD, which will take responsible measures to protect users’ personal information. Unless required by laws and regulations, Shenzhen Value in Action Technology Co., LTD will not provide or disclose users’ personal information to any third party without users’ permission. Shenzhen Value in Action Technology Co., LTD will keep and transmit related information in a professional encrypted form so as to protect users’ personal information.

5.2 In the process of enjoying the Service, you need to provide some necessary information, e.g. you need to provide a mobile phone number to complete user identification. You need to provide your real identity information if applicable laws, regulations or policies require so. If you provide incomplete information, you cannot enjoy the Service or you are under restriction in the process of enjoying the service.

5.3 Shenzhen Value in Action Technology Co., LTD will make use of various security technologies and programs to set up a perfect management system to protect your personal information and prevent your personal information from being accessed, used or disclosed without authorization.

5.4 Without your consent, Shenzhen Value in Action Technology Co., LTD will not disclose your personal information to any company, organization or individual other than Shenzhen Value in Action Technology Co., LTD, unless laws and regulations require or Shenzhen Value in Action Technology Co., LTD deems the disclosure of such information is necessary under the following four conditions:

5.4.1 Such disclosure complies with applicable laws and Shenzhen Value in Action Technology Co., LTD’s legitimate service procedures;

5.4.2 The purpose of such disclosure e is to protect Shenzhen Value in Action Technology Co., LTD’s trademark ownership;

5.4.3 The purpose of such disclosure is to protect users and the public’s privacy security under emergent conditions;

5.4.4 Such disclosure satisfies other applicable requirements.

Shenzhen Value in Action Technology Co., LTD reserves the right to release user information analysis information.

5.5 Shenzhen Value in Action Technology Co., LTD attaches much importance to the protection of minor’s personal information. If you are a minor under 18, you shall ask for your parent or legal guardian’s written consent before enjoying our service.

VI. 【Main Rights and Obligations 】

6.1 【Criterion for Account Number Use】

6.1.1 Each user shall agree that he/she will not disclose his/her account and password information to anybody under any circumstance. Each user will bear the responsibility for all the activities and events in his/her account. If a user doubts that his/her account is used by others or finds any unauthorized account use or security flaw, he/she should notify Shenzhen Value in Action Technology Co., LTD immediately.

6.2 【Instructions to Users】

6.2.1 You understand and agree that, in order to provide effective services to you, the Application will make use of your mobile communication terminal’s processor and bandwidth. Data traffic, telephone and network expenses may occur in the process of using the Application. You should consult with operators to learn about related expense information and bear related expenses.

6.2.2 When a user uses the Application and Service, he/she must bear the responsibility for the risks that are not under the control of Shenzhen Value in Action Technology Co., LTD, including but not limited to:

6.2.2.1 Loss or disclosure of personal information caused due to force majeure;

6.2.2.2 The risk and liability caused because the information released by a user is transmitted or shared by others;

6.2.2.3 Failure to log in SCHEDIT, incomplete data synchronization, and slow speed to open a webpage caused due to unstable Wi-Fi signals or small Wi-Fi bandwidth;

6.2.2.4 Any loss caused due to disclose of any video, audio and other information made by a user by using the Application that occurs not for reasons of Shenzhen Value in Action Technology Co., LTD;

VII. 【Codes of Conduct for Users】

7.1 【Code relating to use of the Application】

Unless permitted by laws or agreed in writing by Shenzhen Value in Action Technology Co., LTD, the following acts are not allowed in the process of using the Application:

7.1.1 Deleting copyright information in the Application and its duplicate;

7.1.2 Carrying out reverse engineering, reverse assembling or reverse compiling to the Application or make an attempt to find the Application’s source code in other ways;

7.1.3 Using, leasing, lending, duplicating, revising, linking, reprinting, assembling, releasing, publishing or setting up a mirror site for the contents whose intellectual property right is held by Shenzhen Value in Action Technology Co., LTD;

7.1.4 Adding, deleting or changing the Application’s function or operation effect by revising or falsifying commands or data in the Application or making use of applications and methods used for the above purposes or making them public whether for commercial purposes or not;

7.1.5 Other acts that are not authorized expressly by Shenzhen Value in Action Technology Co., LTD.

7.2 【Code relating to business operation】

Unless permitted by laws or agreed in writing by Shenzhen Value in Action Technology Co., LTD, the following acts are not allowed when you enjoy the Service:

7.2.1 Submitting or releasing false information personally or in other’s name;

7.2.2 Inducing other users to click a link page or share information;

7.2.3 Making up a story or concealing the truth to mislead or cheat others;

7.2.4 Infringing on other’s lawful rights, such as right of reputation, right of portrait, intellectual property right or business secret;

7.2.5 Making use of a SCHEDIT account or the Application and Service to engage in any illegal or criminal activity;

7.2.6 Disturbing or harassing web services;

7.2.7 Making or releasing methods or tools relating to the above acts or operating or spreading these methods or tools whether for commercial purposes or not;

7.2.8 Other acts that violate laws or regulations, infringe on other users’ lawful rights or interests, disturb products’ normal operation, or are not authorized expressly by Shenzhen Value in Action Technology Co., LTD.

7.3 【Responsibility for your acts】

You fully understand and agree that you are responsible for all the acts under your account, including any content released by you and any consequence caused. You should make a judgment on the contents of the Service and take all the risks arising from the use of related contents, including risks caused due to reliance on the correctness, completeness or practicality of contents. Shenzhen Value in Action Technology Co., LTD will bear no responsibility for any loss or damage caused for reasons of the foregoing risks.

7.4 【Punishments for breach of the Agreement】

7.4.1 Shenzhen Value in Action Technology Co., LTD is entitled to make a judgment on whether a user’s act complies with the requirements and spirit of the service terms. If a user violates the service terms, Shenzhen Value in Action Technology Co., LTD is entitled to suspend providing services to his/her account. If Shenzhen Value in Action Technology Co., LTD finds a user’s violation of the Agreement or receives other’s report or complaint about a user’s violation of the Agreement, Shenzhen Value in Action Technology Co., LTD is entitled to delete related contents at any time without notice and execute such punishments as warning, restriction or prohibition of all or partial functions, account banning, or account closing to violators according to the circumstances and then make public the result of handling.

7.4.2 You understand and agree that Shenzhen Value in Action Technology Co., LTD is entitled to rely on its reasonable judgment to punish those who violate laws, regulations or the Agreement, take proper legal actions against any user who violate laws or regulations, and keep relevant information and report competent departments in accordance with laws and regulations. Users shall bear all the legal liabilities arising therefrom.

7.4.3 You understand and agree that, if you violate the Agreement or relevant service terms or go beyond the scope of service, you shall bear the responsibility independently and shall also make compensation for the loss (if any) caused to Shenzhen Value in Action Technology Co., LTD therefrom.

VIII. 【Declaration as to Intellectual Property Right】

8.1 Shenzhen Value in Action Technology Co., LTD is the holder of intellectual property rights of the Application. All the intellectual property rights of the Application, such as copyright, trademark, patent and business secret, and all the information relating to the Application (including but not limited to text, picture, audio, video, graphics, interface design, frame layout, data or electronic documents, and so on) are protected by the laws and regulations of the People’s Republic of China and international treaties. Shenzhen Value in Action Technology Co., LTD owns the above intellectual property rights, expect the rights owned by relevant right holders in accordance with laws.

8.2 Unless agreed in writing by Shenzhen Value in Action Technology Co., LTD or relevant right holders, you may not use or transfer the above intellectual property rights or allow to do so for any commercial or non-commercial purpose.

IX. 【Responsibility for Terminal Security】

9.1 You understand and agree that, like most Internet software, the Application may be influenced by many factors, including but not limited to your reasons, web service quality, social environment, or encounter various security problems, including but not limited to harassment in real life after a user’s information is used illegally by others. Other software installed by users or other websites visited by users may contain virus, Trojan horse programs or other malicious programs, which will threaten your terminal devices and data security and have an impact on the normal use of the Application. Therefore you should strengthen your information security and personal information protection awareness and take measures to protect your passwords so as not to incur a loss.

9.2 You are not allowed to make, release, use or spread malicious programs used for steal a SCHEDIT account or other’s personal information or property.

9.3 Shenzhen Value in Action Technology Co., LTD and you are jointly liable to maintain the security and normal use of the Application. Shenzhen Value in Action Technology Co., LTD will take necessary technical measures reasonably and prudently to protect your terminal device information and data security. However, you acknowledge and agree that Shenzhen Value in Action Technology Co., LTD cannot provide absolute guarantee and full assurance and that users should take the risk of using information service. Shenzhen Value in Action Technology Co., LTD does not assure that the Service will not be interrupted and it does not guarantee the timeliness, security, and accuracy of the Service.

9.4 Shenzhen Value in Action Technology Co., LTD will bear no responsibility for any direct, indirect, accidental, special or consequent damages caused because users fail to use Shenzhen Value in Action Technology Co., LTD’s service properly or the information transmitted by users does not comply with applicable regulations. Users’ such acts may have an adverse impact on Shenzhen Value in Action Technology Co., LTD’s corporate image. Therefore Shenzhen Value in Action Technology Co., LTD puts forth the possibility of such damage in advance and it will try to prevent occurrence of such damage.

9.5 You should not readily believe network information relating to borrowing money, asking for your password, or your property under any circumstance. If your property is involved, you should verify the other party’s identity first. In addition, you should pay attention to Shenzhen Value in Action Technology Co., LTD’s instructions relating to prevention of frauds.

X. 【End the Service】

Users or Shenzhen Value in Action Technology Co., LTD may suspend one service or several services according to actual situations at any time. Shenzhen Value in Action Technology Co., LTD may suspend the Service at any time without bearing any responsibility to any individual. If a user disagrees to any of the service terms or subsequent amendment to service terms or is dissatisfied with Shenzhen Value in Action Technology Co., LTD’s service, he/she is entitled to:

(1) Stop using Shenzhen Value in Action Technology Co., LTD’s products or services;

(2) Notify Shenzhen Value in Action Technology Co., LTD to stop providing the Service.

After a user’s service is ended, the user’s right to enjoy Shenzhen Value in Action Technology Co., LTD’s services is suspended immediately and, from then on, Shenzhen Value in Action Technology Co., LTD is not liable to send any unhandled information or uncompleted service to the user and the user has no right to enjoy such service.

XI. 【Miscellaneous】

11.1 Once you use the Application, you are deemed as having read and accepted the Agreement. Shenzhen Value in Action Technology Co., LTD is entitled to amend the Agreement if necessary. You may read relevant terms of the Agreement via the latest version of the Application. If you continue using the Application after the Agreement is changed, you are deemed as having read and accepted the amended Agreement. If you refuse to accept the amended Agreement, you shall stop using the Application.

11.2 The Agreement is signed at Nanshan District, Shenzhen City, Guangdong Province, P. R. China.

11.3 The Agreement’s formation, effectiveness, execution, interpretation, and settlement of dispute shall be governed by the laws in Mainland China (excluding Conflict Law).

11.4 If any dispute occurs between you and Shenzhen Value in Action Technology Co., LTD, it should be settled through friendly consultation. If the dispute cannot be settled through consultation, you agree that the dispute is submitted to a people’s court at the place where the Agreement is signed.

11.5 All headlines under the Agreement are made for the convenience of reading and they have no actual meaning. Therefore they may not be used as the basis for interpreting the meaning of the Agreement.

11.6 If any provision of the Agreement becomes partially invalid or non-executable for any reasons, reaming provisions remain effective and binding to both parties.

11.7 All the notices that should all be sent to users, including notices of amendment to service terms, change in service, or other important things, may be sent to users by message release, website announcement, e-mail, or regular mail. .
